WEBSITE TERMS AND CONDITIONS
Version: 26v1.3
Last Updated: 11 October 2026
1. Introduction and Acceptance
1.1. These Website Terms and Conditions (“Terms”) govern your access to and use of the IPS Health and Wellness website at https://ipshealth.co.za/, including its online store, content, functionality and related services (collectively, the “Website”).
1.2. The Website is operated by IPS Health and Wellness Proprietary Limited, registration number 2008/019443/07 (“IPS”, “we”, “us” or “our”).
1.3. By accessing or using the Website, you agree to these Terms. If you purchase products through the Website, the Delivery, Returns and Refunds Policy and any product- or order-specific terms presented to you before checkout will also apply. Our processing of personal information is described in our Privacy Policy, and our use of cookies and similar technologies is described in our Cookie Policy.
1.4. If you do not agree to these Terms, you must not use the Website or place an order through it.
1.5. These Terms apply to transactions concluded through the Website. Transactions concluded through an IPS call centre, telesales channel or another sales channel may be subject to separate or additional terms disclosed to the consumer when that transaction is concluded.
1.6. You must be at least 18 years old and have legal capacity to place an order through the Website. If you are under 18, a parent or legal guardian must place the order on your behalf.
2. Important Consumer Rights
2.1. Nothing in these Terms is intended to limit, exclude or waive any rights that cannot lawfully be limited, excluded or waived under applicable South African law, including the Consumer Protection Act 68 of 2008 (“CPA”), the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”), and the Protection of Personal Information Act 4 of 2013 (“POPIA”) as well as applicable requirements of the Medicines and Related Substances Act 101 of 1965 and regulations governing products offered on the Website.
2.2. If any provision of these Terms conflicts with a mandatory provision of applicable law, the mandatory provision will prevail to the extent of the conflict.
3. Changes to These Terms and the Website
3.1. We may amend these Terms from time to time. The updated Terms will be posted on the Website with a revised “Last updated” date.
3.2. Your continued use of the Website after updated Terms are posted constitutes acceptance of those updated Terms. Any change will not affect an order already accepted by us, unless required by law or agreed with you.
3.3. We may modify, suspend, withdraw or discontinue any part of the Website, its functionality, or any product offering at any time. We will use reasonable efforts to give notice where a change materially affects an accepted order.
4. Products and Health Information
4.1. IPS offers health, wellness, vitamin, supplement and related products through the Website.
4.2. Product descriptions, images, labels, pricing and availability are provided for general information and may change without notice. We take reasonable steps to ensure that product information displayed on the Website is accurate and current. Product formulations, packaging, ingredients, nutritional information, warnings and instructions may nevertheless change from time to time as a result of manufacturing, regulatory or product-development requirements. You should always read the product label and instructions supplied with the product before use.
4.3. Images are illustrative only. Colours, packaging and product presentation may differ from those displayed on your device.
4.4. Information made available on the Website is provided for general health and wellness information and does not constitute medical diagnosis, treatment or individual medical advice. Website content is not a substitute for advice from an appropriately qualified healthcare professional. Consumers should seek appropriate professional advice before using a product where this is reasonably necessary, including where the consumer is pregnant or breastfeeding, has an existing medical condition or allergy, uses medication, or intends to administer the product to a child.
4.5. You are responsible for ensuring that products are suitable for your personal requirements and for using products strictly in accordance with their labels and instructions.
4.6. Products offered through the Website may be subject to regulation as medicines, complementary medicines, health supplements or other health products. The regulatory status, approved or permitted indications, directions, warnings and claims applicable to a particular product are those lawfully applicable to that product. Nothing on the Website constitutes a representation that a product has been registered, approved or endorsed by the South African Health Products Regulatory Authority (‘SAHPRA’) unless this is expressly stated and factually correct.
5. Online Orders
5.1. To place an order, you must follow the checkout process on the Website and provide complete, current and accurate information.
5.2. Before finally submitting an order, you will be given an opportunity to review the products selected, quantities, delivery information, applicable charges and other material transaction information, to correct errors, and to withdraw from the transaction before placing the order.
5.3. Placing an order constitutes an offer by you to purchase the selected products. An order confirmation acknowledges receipt of your order only; it does not constitute acceptance of that order.
5.4. A binding agreement is formed only when we send you a dispatch confirmation, or otherwise expressly confirm acceptance of your order.
5.5. We may decline or cancel an order before dispatch where reasonably necessary, including where:
- 5.5.1. a product is unavailable;
- 5.5.2. there is an inadvertent and obvious error in the displayed price or material product information, provided that IPS deals with the error in accordance with applicable consumer law;
- 5.5.3. payment has not been authorised or received;
- 5.5.4. we reasonably suspect fraud, unauthorised activity or a breach of these Terms; or
- 5.5.5. delivery cannot reasonably be completed.
5.6. If we cancel an order after payment has been received, we will refund the amount paid for the cancelled products using the original payment method within any period required by applicable law. The time taken for a refund to reflect after it has been processed may depend on the relevant bank or payment-service provider.
6. Prices, Payment and Promotions
6.1. Prices displayed on the Website are in South African Rand and include VAT where applicable, unless clearly stated otherwise.
6.2. Delivery charges, if applicable, will be shown at checkout before you submit your order.
6.3. We may change prices at any time before acceptance of an order. If a displayed price contains an inadvertent and obvious error, we will correct the error and take reasonable steps to inform affected consumers as required by applicable law.
6.4. Payments are processed using the payment methods and payment-service providers made available at checkout. Payment information is processed using security procedures appropriate to the payment method concerned. Additional information regarding the processing of payment and personal information is contained in our Privacy Policy.
6.5. Promotional codes, discounts and special offers are subject to their stated terms, availability and duration. Unless expressly stated otherwise, promotions cannot be used together, exchanged for cash, applied retrospectively or transferred.
7. Delivery, Risk and Ownership
7.1. Delivery options, timeframes, areas, charges and restrictions are set out at checkout and in our Delivery, Returns and Refunds Policy.
7.2. Delivery dates are estimates only. We will use reasonable efforts to deliver within the indicated timeframe but are not responsible for delays outside our reasonable control. Unless a different delivery period has been agreed with you, orders will be executed within the period required by applicable law. Where section 46 of ECTA applies and IPS fails to execute the order within 30 days, or within an agreed alternative period, the consumer has the cancellation rights provided by that section.
7.3. Risk in products passes to you upon delivery to the delivery address provided by you or collection by you or your authorised representative, as applicable.
7.4. Ownership in products passes to you once we have received payment in full.
7.5. We ask that you inspect products reasonably promptly after delivery and notify us if products are damaged, incorrect or missing so that we can investigate and resolve the matter efficiently. This request does not reduce, shorten or waive any statutory right or remedy available to you.
8. Returns, Refunds and Defective Products
8.1. Returns, refunds and exchanges are governed by our Delivery, Returns and Refunds Policy and your rights under applicable law.
8.2. Nothing in these Terms limits your statutory rights in respect of defective, unsafe, unsuitable or non-conforming products, including rights available under the CPA.
8.3. Non-defective products may be subject to reasonable return restrictions where permitted by law, including where a product has been opened or used and cannot lawfully or reasonably be returned for health, hygiene or safety reasons. Any such restriction is subject to the CPA, ECTA and other applicable law and does not limit rights relating to defective, unsafe, incorrectly supplied or otherwise non-conforming goods.
8.4. Where section 44 of ECTA applies to an electronic transaction, a consumer may cancel the transaction without reason and without penalty within seven days after receipt of the goods. The consumer may be responsible only for the direct cost of returning the goods, and where payment has already been made, the consumer is entitled to a full refund, which will be made within 30 days of cancellation.
8.5. Where goods fail to satisfy the requirements and standards contemplated in sections 55 and 56 of the CPA, a consumer may, within six months after delivery and subject to the CPA, return the goods without penalty and at IPS's risk and expense. IPS must, at the direction of the consumer, either repair or replace the failed, unsafe or defective goods, or refund the price paid by the consumer.
9. Accounts and Security
9.1. Where you create an account, you must keep your account credentials confidential and must not permit any other person to use your account.
9.2. You are responsible for activity that you authorise or cause through your account. You must notify IPS promptly if you become aware of unauthorised access. Nothing in this clause makes you responsible for unauthorised activity arising from a security failure for which IPS or another person is responsible under applicable law.
9.3. You must notify us immediately at info@ipshealth.co.za if you suspect unauthorised access to your account.
9.4. We may suspend or terminate an account where we reasonably believe there has been fraud, unlawful conduct, misuse of the Website or a material breach of these Terms.
10. Acceptable Use
10.1. You may use the Website only for lawful personal and non-commercial purposes.
10.2. You must not, directly or indirectly:
- 10.2.1. use the Website in a manner that is unlawful, fraudulent, harmful or misleading;
- 10.2.2. interfere with, disrupt, damage or compromise the security, integrity or operation of the Website;
- 10.2.3. gain or attempt to gain unauthorised access to the Website, its systems, accounts or data;
- 10.2.4. introduce viruses, malware, malicious code or other harmful material;
- 10.2.5. use automated tools, bots, crawlers, scrapers or similar means to access, extract or copy Website content without our written permission;
- 10.2.6. reverse engineer, decompile or disassemble any portion of the Website, except to the extent permitted by law; or
- 10.2.7. submit content that is unlawful, defamatory, infringing, abusive, discriminatory, obscene or otherwise objectionable.
10.3. Unauthorised access to, interference with or misuse of computer systems may constitute an offence under applicable law, including ECTA and Cybercrimes Act 19 of 2020.
11. Intellectual Property
11.1. The Website and all material available through it, including its design, software, text, graphics, images, logos, trademarks, product content, databases and other content (“IPS Material”), are owned by or licensed to IPS and are protected by applicable intellectual-property laws.
11.2. Subject to these Terms, IPS grants you a limited, revocable, non-transferable and non-exclusive licence to access and use the Website for personal, lawful and non-commercial purposes.
11.3. You may not reproduce, publish, distribute, modify, create derivative works from, publicly display, commercially exploit or otherwise use IPS Material without our prior written consent, except as permitted by law.
12. Third-Party Services and Links
12.1. The Website may contain links to, or integrate with, third-party websites, platforms, payment providers, social-media services or other services.
12.2. Third-party services are not controlled by IPS. We do not endorse, warrant or accept responsibility for their content, availability, security, policies, products or services. Nothing in this clause excludes or limits any responsibility that IPS is required to retain under applicable law in respect of a third-party service provider or operator acting on its behalf.
12.3. Your use of a third-party service is governed by that third party’s own terms and privacy policies.
13. Privacy and Cookies
13.1. We process personal information in accordance with POPIA and our Privacy Policy.
13.2. The Website uses cookies and similar technologies as described in our Cookie Policy.
13.3. By using the Website, you acknowledge that we may process your personal information as described in those policies and in accordance with applicable law.
13.4. The Website does not currently provide a separate cookie pop-up, consent banner or cookie preference centre. You may manage, block, restrict or delete cookies through the settings provided by your browser or device, as described in our Cookie Policy. Where IPS introduces a cookie preference or consent-management mechanism in future, applicable choices may also be managed through that mechanism.
14. Electronic Communications
14.1. When you place an order, create an account or contact us electronically, we may send electronic communications reasonably necessary to administer that interaction, including order confirmations, delivery information, account notices, customer-service messages and legally required notices.
14.2. IPS will send electronic direct marketing only where permitted by POPIA, the CPA and other applicable law, including where valid consent has been obtained or where an applicable existing-customer basis permits the communication. Every marketing communication will provide an appropriate means to object or unsubscribe, where required by law.
14.3. IPS will respect applicable pre-emptive blocks, opt-out mechanisms and direct-marketing restrictions required by law.
15. Disclaimer and Limitation of Liability
15.1. The Website is provided on an “as available” basis. To the maximum extent permitted by law, IPS does not warrant that the Website will always be uninterrupted, secure, error-free or free from harmful components.
15.2. IPS will use reasonable care and skill in providing the Website and fulfilling accepted orders.
15.3. To the maximum extent permitted by law, IPS will not be liable for indirect or consequential loss arising solely from the use of, or inability to use, the Website where that loss was not reasonably foreseeable and was not caused by a breach of a statutory obligation or other conduct for which liability may not lawfully be excluded.
15.4. Nothing in these Terms excludes, restricts or limits liability or a consumer remedy where doing so is prohibited by law, including liability arising from fraud, gross negligence, mandatory product-safety or product-liability provisions, mandatory payment-security obligations, or any right or remedy conferred on a consumer by the CPA, ECTA, POPIA or other applicable legislation.
16. Indemnity
16.1. To the extent permitted by applicable law, you indemnify IPS against third-party claims arising directly from your unlawful use of the Website or from content submitted by you that unlawfully infringes another person's rights. This indemnity does not apply to loss caused by IPS's own unlawful conduct, negligence where liability may not lawfully be excluded, or breach of a statutory duty.
17. Suspension and Termination
17.1. We may suspend, restrict or terminate your access to the Website or account where reasonably necessary to protect the Website, IPS, other users or third parties, or where you breach these Terms.
17.2. Termination does not affect rights and obligations that accrued before termination, including payment obligations for accepted orders.
18. Complaints and Dispute Resolution
18.1. If you have a complaint concerning a Website order or product, please first contact IPS at info@ipshealth.co.za so that we can attempt to resolve the matter directly.
18.2. Where the Consumer Goods and Services Industry Code applies, an unresolved consumer complaint may be referred to the Consumer Goods and Services Ombud (‘CGSO’) in accordance with that Code. Information concerning the CGSO and its complaints process is available from www.cgso.org.za.
18.3. Nothing in this clause prevents a consumer from exercising any right to approach the National Consumer Commission, another competent regulator, ombud, tribunal or court where permitted by law.
19. Governing Law and Jurisdiction
19.1. These Terms are governed by the laws of the Republic of South Africa.
19.2. The parties consent to the jurisdiction of the South African courts having jurisdiction, subject to any right you may have under applicable consumer-protection law to bring a claim in another competent forum.

21.2 If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be severed to the minimum extent necessary and the remaining provisions will remain in force.
21.3 A failure by IPS to enforce a provision of these Terms is not a waiver of that provision or any other right.
21.4 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. IPS may assign its rights and obligations in connection with a merger, acquisition, restructuring or transfer of assets, provided that this does not materially reduce your rights.
